Cesvi – Cooperazione e Sviluppo - Italian NGO operating in ZIMBABWE is going to implement the project “From PPTCT (Prevention of Parent to Child Transmission) to a Comprehensive HIV Treatment and Care Package”. The project is funded by EUROPEAN UNION (contract SANTE/078/699) and provides the supply for the following item:

TERMS OF PARTICIPATION

8. Eligibility and rules of origin
Participation is open on equal terms to all natural and legal persons coming within the scope of the Treaties.

Authorized Derogation: Article 9 -Specific Conditions applying to the operation- of the Supplementary Agreement n° 1 to the Grant Agreement No ECHO/TJK/BUD/2004/04002, agrees to waive the rules on nationality and origin, having been met the conditions in point 2.3 of Annex V of the Framework Partnership Agreement.

9. Grounds for exclusion
Tenderers must submit a statement to the effect that they are not in any of the situations listed below:

(a) They are bankrupt or being wound up, are having their affairs administered by the courts, have entered into an arrangement with creditors, have suspended business activities, are the subject of proceedings concerning those matters, or are in any analogous situation arising from a similar procedure provided for in national legislation or regulations;
(b) They have been convicted of an offence concerning their professional conduct by a judgment which has the force of res judicata;
(c) They have been guilty of grave professional misconduct proven by any means which the Contracting Authority can justify;
(d) They have not fulfilled obligations relating to the payment of social security contributions or the payment of taxes in accordance with the legal provisions of the country in which they are established or with those of the country of the Contracting Authority or those of the country where the contract is to be performed;
(e) They have been the subject of a judgment which has the force of res judicata for fraud, corruption, involvement in a criminal organisation or any other illegal activity detrimental to the Communities' financial interests;
(f) following another procurement procedure or grant award procedure financed by the Community budget, they have been declared to be in serious breach of contract for failure to comply with their contractual obligations.

The contract is for the delivery of construction materials to be used by CESVI in Tajikistan (Yovon district) with the objective of improving the access to safe drinking water of the vulnerable population of the selected area, through the construction of water supply systems.

8. Elegiblity and rule of origin
Participation is open on equal terms to all natural and legal persons coming within the scope of the Treaties

Authorized Derogation: The conditions in point 2.3 of Annex V of the Framework Partnership Agreement having been met, Article 9 – Specific Conditions applying to the operation No ECHO/TJK/BUD/2005/01006 agrees to waive the rules on nationality and origin.

9. Grounds for exclusion
Tenderers must submit a statement to the effect that they are not in any of the situations listed below:

(a) They are bankrupt or being wound up, are having their affairs administered by the courts, have entered into an arrangement with creditors, have suspended business activities, are the subject of proceedings concerning those matters, or are in any analogous situation arising from a similar procedure provided for in national legislation or regulations;

(b) They have been convicted of an offence concerning their professional conduct by a judgment which has the force of res judicata;

(c) They have been guilty of grave professional misconduct proven by any means which the Contracting Authority can justify;

(d) They have not fulfilled obligations relating to the payment of social security contributions or the payment of taxes in accordance with the legal provisions of the country in which they are established or with those of the country of the Contracting Authority or those of the country where the contract is to be performed;

(e) They have been the subject of a judgment which has the force of res judicata for fraud, corruption, involvement in a criminal organisation or any other illegal activity detrimental to the Communities' financial interests;

(f) following another procurement procedure or grant award procedure financed by the Community budget, they have been declared to be in serious breach of contract for failure to comply with their contractual obligations.

10. Number of tenders
Tenderers (including firms within the same legal group, other members of the same consortium, and sub-contractors) may submit one or more tender(s) for one or more lots. Tenders for parts of a lot will not be considered. Any tenderer may state in its tender that it would offer a discount in the event that its tender is accepted for more than one lot. Tenderers may not submit a tender for a variant solution in addition to their tender for the supplies required in the tender dossier.

11. Tender guarantee
Tenderers must provide a tender guarantee of 1% of the budget available for the contractwhen submitting their tender. This guarantee will be released to unsuccessful tenderers once the tender procedure has been completed and to the successful tenderer(s) upon signature of the contract by all parties. This guarantee will be called upon if the tenderer does not fulfil all obligations stated in its tender.

12. Performance guarantee
The successful tenderer will be asked to provide a performance guarantee of no more than 5% of the amount of the contract at the signing of the contract. This guarantee must be provided no later than 30 days after the tenderer receives the contract signed by the Contracting Authority. If the selected tenderer fails to provide such a guarantee within this period, the contract will be void and a new contract may be drawn up and sent to the tenderer which has submitted the next best compliant tender.

CESVI (Cooperazione e Sviluppo) is an international NGO, with headquarters in Italy, operating in R.D.Congo. CESVI has received a grant from ECHO for the implementation of a humanitarian aid operation, contract ECHO/COD/BUD/2005/01016 and intends to apply a portion of that grant to payments under this contract. ECHO will establish the final amount of the grant and will liquidate it to Cesvi on completion of the operation on the basis of the expenses presented and declared eligible. No party other than Cesvi shall derive any rights from the grant or have any claim to its proceeds. Under no circumstances or for no reason whatsoever will the ECHO entertain any request for indemnity or payment directly submitted by Cesvi contractors.

The Tenderer must offer the whole quantity indicated. Only bids complete with all of the quantities required will be taken into consideration. The tenderer must guarantee that all items offered are manufactured and procured in accordance with the above specified origin rules.

Quantities indicated in Annex 1 are subject to a 20% fluctuation margin (increase or decrease) per item throughout the duration of the contract.

1. Participation

2. Submission of tenders

2.1 Required documentation
Tenders must be submitted in accordance with the double envelope system, i.e. in an outer parcel or envelope containing two separate, sealed envelopes, one bearing the words "Envelope A - Technical offer" and the other "Envelope B - Financial offer".

The envelope A has to include the following documentation:

2.2 ENVELOPE A

2.2.1 Company registration certificate

2.2.2 A bank statement proving ownership of a commercial bank account.
Remark: Proof of economic and financial capacity may be furnished by one or more of the following documents:
• Appropriate statements from banks or evidence of professional risk indemnity insurance;
• The presentation of balance sheets or extracts from balance sheets for at least the last two years for which accounts have been closed, where publication of the balance sheet is required under the company law of the country in which the economic operator is established;
• Statement of overall turnover and turnover concerning the works, supplies or services covered by the contract during a period which may be no more than the last three financial years.

If, for some exceptional and justified reason, the tenderer or candidate is unable to provide the references requested, it may prove its economic and financial capacity by any other appropriate means.

2.2.3 A Company profile (curriculum of activities and history of experience).
One or more of the following documents may furnish proof of technical and professional capacity:
• The educational and professional qualifications of the service provider or contractor and/or those of the firm's managerial staff and, in particular, those of the person or persons responsible for providing the services or carrying out the works;
• A list of the principal supplies delivered in the past three years, with the sums, dates and recipients, public or private.
• A description of the measures employed to ensure the quality of supplies
• An indication of the technicians or technical bodies involved, whether or not belonging directly to the firm, responsible for quality control;
• In respect of supplies: descriptions and/or authentic photographs and/or certificates drawn up by official quality control institutes or agencies of recognised competence attesting the conformity of the products with the specifications or standards in force.

2.2.4 Ethical manufacturing standards declaration
This is a signed statement declaring, under their responsibility, that all of the items offered have been manufactured in accordance with international rules against exploitation of child labour and gender discrimination.

2.3 ENVELOPE B

2.3.1 Financial offer:
• The offer must be drawn up using the bid form annexed to the present invitation to tender (see ANNEX 1) and following CESVI guidelines. The bid form can be typed or hand-written with indelible ink. All sections of the form must be completed.
• Offered prices should indicate cost of delivery, transportation, insurance and customs duties of materials to CESVI's warehouse in Beni R.D.Congo throughout the duration of the project and according to time-schedules stipulated by CESVI. No additional fee will be paid for transportation. · Offered prices must be quoted in USD.
• Offered prices must be fixed and valid until the date shown in Annex 1. No modification will be accepted from the moment the offer is received.
• Delivery time must be indicated in the dedicated space in Annex 1.
• The country of origin and the standard of the materials must be explicitly written in the dedicated spaces in Annex 1

2.4 Presentation of bid
Tender bids, inclusive of all the documents required in §§ 2.2 to 2.3.1 above (collected in the two described envelopes), must be closed in a sealed and anonymous envelope; stamped and registered by CESVI in an appropriate document immediately after reception.

Any questions concerning the call for tender or the items to be provided can be presented in writing at CESVI Beni, Quartier Mabakanga, Avenue Bukavu N. 1, Beni - R.D.Congo or cesvibeni@cesvi.org until 10th June 2005 and CESVI will answer within 15th June 2005. Answers will be published as FAQ on CESVI web site www.cesvi.org or they are available at CESVI office, Beni.

The envelopes must be handed to the above address before 21st June 2005 at 12.00 pm. This deadline has to be considered as a fix term and CESVI will not accept any delay justification even if due to the post service.

3. Opening bids procedure
The ceremony of the envelopes opening will be held on 21st June 2005 at 3.00 pm; an ad hoc Commission will manage the event. The venue will be CESVI office in Cesvi Beni, Quartier Mabakanga, Avenue Bukavu N. 1, Beni R.D.Congo
• The envelopes will be opened and publicly read by the President of the above mentioned Commission.
• After the opening of all the envelopes received within the deadline, the Commission will evaluate their contents behind closed doors.
• The winner will be informed by CESVI within three days from the opening ceremony.
• All the participants to the bid will be informed either by phone or e-mail on the results of the tender.

4. Tender evaluation
CESVI will evaluate the bids on the basis of the following criteria:
• Quality/price (60%), delivery time (25%), curriculum of the company (relevant prior experience in the field and in NGO or International Agency projects, 15%)
• The tenderers who will be taken into consideration after the opening of the envelope A and B, will be informed by Cesvi and asked to deliver their samples

Any bidder failing to adhere to the tender procedures will automatically be disqualified.

5. Language of agreement
All correspondence and documents related to the open tender procedure, contracts and reporting shall be written in English or French.

6. Cancellation of open tender procedure
In no circumstances CESVI will be liable for damages, whatever their nature (in particular damages for loss of profits) or relationship to the cancellation of the open tender procedure, even if CESVI has been advised of the possibility of damages. The publication of a procurement notice does not commit CESVI to implement the project announced.

7. Liabilities
ECHO will establish the final amount of the grant and will liquidate it to CESVI on completion of the operation on the basis of the expenses presented and declared eligible. 8. Warranty
• The Contractor shall warrant that the supplies are new, unused, of the most recent models and incorporate all recent improvements in design and materials.

• This warranty shall remain valid for 6 months after final acceptance of supplies.

Cesvi is an Italian NGO that has been working in DPR of Korea since September 1997, in response to the appeal for international assistance of the country.

Since 1997 Cesvi implemented several projects in partnership with ECHO (European Commission - Humanitarian Office).

The Tender notice have to be placed inside the Framework Partnership Agreement between Cesvi and ECHO.

1. This Tender Notice is addressed to trading companies (Candidates) that are interested to participate to requests of quotations hereafter, for procurement of items and equipment, which will be delivered to Pangyo county Hospital and Wonsan Provincial Hospital, in Kangwon Province, DPR of Korea.

7. Once the Candidates submit the complete documentation requested, Cesvi would evaluate which companies are to be considered eligible, hence draw up a shortlist of potential suppliers.

LIST OF DOCUMENTS REQUESTED

8. The candidates must certify they are not falling under any of the following cases: a. Bankrupt or being wound up, having their affairs administered by the courts, have entered into an arrangement with creditors, have suspended business activities, are the subject of proceedings concerning those matters, or are in any analogous situation arising from a similar procedure provided for in national legislation or regulations;
b. They have been convicted of an offence concerning their professional conduct by a judgement that has the force of res judicata;
c. They have been guilty of grave professional misconduct proven by any means that Cesvi can justify;
d. They have not fulfilled obligations relating to the payment of social security contributions or the payment of taxes in accordance with the legal provisions of the country in which they are established or with those of the country of Cesvi or those of the country where the contract is to be performed;
e. They have been the subject of a judgement that has the force of res judicata for fraud, corruption, involvement in a criminal organization or any other illegal activity detrimental to the Communities' financial interests;
f. Following another procurement procedure or grant award procedure financed by the Community budget, they have been declared to be in serious breach of contract for failure to comply with their contractual obligations.
9. The candidates have to submit:
a. Company profile
b. Business registration certificate
c. Financial references
10. The candidates shall present the curriculum vitae of the company highlighting the experiences already run with Cesvi and other Humanitarian organizations mainly in DPR of Korea.
11. The candidates have not to be:
a. Subject to a conflict of interest;
b. Guilty of misrepresentation in supplying the information required by Cesvi as a condition of participation in the contract procedure or fail to supply this information.
12. The candidates shall present their credentials by photocopies of original documents and translation of them written in English.
13. The above-mentioned terms and conditions of the List will be the criteria for selection of the candidates.

SUBJECT OF THE TENDER NOTICE

14. Subject of the tender notice are the following main groups:
a. Building materials including windows, doors, water and sanitation components, electrical components, heating components, materials for finish;
b. Furniture for hospitals including beds, blankets, cotton sheets etc;
c. Medical equipment, medical devices and doctor kits;
d. Surgery rooms equipment.
15. The medical devices have to match the reference standards ISO certification 9001/EN46001 or ISO 9002/EN46002.
16. Medical equipment must meet the essential requirements described in the Council Directive 93/42/EEC of 14 June 1993.
17. The sum of 146.000 Euros is the total amount of money, which will be awarded split into several contracts.
